Terms of service

1. Who we are
GrowSpark is a service operated by jai media ltd, a company registered in England and Wales (“we”, “us”). These terms form a contract between you and us. By creating an account or using the service you agree to them. If you do not agree, do not use the service.
2. The service
GrowSpark surfaces information about companies drawn from the public Companies House register and other public sources, filtered to your chosen area and preferences, so you can identify potential clients. We provide information only. We do not guarantee that any company will become your client, that data is complete or error-free, or that a registered-office location matches where a business actually trades.
3. Eligibility
The service is for business use by accountancy and professional-services firms. You must be at least 18 and have authority to enter into these terms on behalf of your firm.
4. Your account
You are responsible for keeping your login secure and for activity under your account. Tell us promptly if you suspect unauthorised access.
5. Subscriptions, free trial and billing
The Starter plan is billed monthly in advance through our payment processor, Stripe. New subscriptions start with a 14-day free trial: you provide a card at sign-up but are not charged until the trial ends. If you cancel before the trial ends, you are not charged. After the trial, the plan renews automatically each month until cancelled.
You can cancel at any time from the Stripe billing portal; cancellation takes effect at the end of the current paid period and we do not refund part-months. We may change pricing on reasonable notice; changes apply from your next renewal.
6. Research credits
Some features use research credits. Credits have no cash value, are non-transferable and are non-refundable once used, including where a result is served from cache. We may set fair-use limits.
7. Acceptable use and your responsibilities
GrowSpark supplies information for your own prospecting. You are solely responsible for how you use it and for any outreach you send, and you must comply with all applicable law, including UK GDPR and the Privacy and Electronic Communications Regulations (PECR): establish a lawful basis, obtain consent where required, identify yourself, and honour opt-outs. You must not resell or redistribute the data, use it for unlawful, misleading or harassing communications, or attempt to scrape, overload or reverse-engineer the service. We never send outreach on your behalf.
8. Intellectual property
We own the GrowSpark platform, software and branding. We grant you a non-exclusive, non-transferable right to use the service while your subscription is active. Underlying public register data remains subject to its own source terms.
9. Third-party services
We rely on third parties including Companies House (data), Stripe (payments) and Resend (email delivery). Your use may also be subject to their terms. We are not responsible for their services.
10. Availability and warranties
The service is provided on an “as is” and “as available” basis. We do not warrant uninterrupted or error-free operation and may change, suspend or withdraw features. To the extent permitted by law we exclude implied warranties.
11. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profit, business or data, and our total liability to you in any 12-month period is limited to the fees you paid us in that period.
12. Indemnity
You will indemnify us against claims arising from your unlawful use of the service or data, or your breach of these terms.
13. Suspension and termination
We may suspend or terminate access if you breach these terms or use the service unlawfully. You may stop using the service and cancel at any time.
14. Changes
We may update these terms from time to time. Material changes will be notified by email or in the app, and continued use after they take effect means you accept them.
15. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
